A Corporate Paralegal: Provides substantive procedural and legal work in support of a team of transactional attorneys (and their clients) in the Transactions Group within the legal department who perform work in the areas of general corporate and mergers & acquisitions. Support would include but not be limited to legal document drafting, proofreading and redlining, legal research, evaluation, organization, analysis and communication of legal facts and concepts. The position periodically includes supporting administrative reporting requirements of the Transactions Group, including budget and pipeline tracking and analysis, and supporting other team members on special projects as needed. Essential Duties and Responsibilities (but not limited to): * Serve as paralegal resource for corporate M&A attorneys in the Transactions Group * Prepare agreements and support documents in connection with transactions, including letters of intent, purchase agreements, operating agreements, medical director agreements, management services agreements, leases and other closing documents. * Coordinate closing of transactions under the direction of attorneys, including preparing and managing closing checklists and preparing closing binders. * Apply legal principles and judgment to the identification, analysis and solution of legal issues in connection with transactions. * Prepare, review and revise complex legal documents as directed by attorneys. * Perform independent legal research and document and communicate results of research. * Maintain electronic database and files for deal precedent, transactions |
